This End-User License Agreement (EULA) is a legal agreement between you (either as an individual or on behalf of an entity) and FEATrading OÜ, an Estonian company located at Tornimäe tn 5, 10145 Tallinn, Estonia regarding your use of the products named Signova, MT5 Tick Data, Expert Advisor Builder, Meta Extender and Stop Loss Manager, together with any editions or subscription tiers in which they are offered, and their associated documentation (the 'Software'). IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS EULA, DO NOT INSTALL, USE OR COPY THE SOFTWARE.
This EULA is applicable to both, physical persons and legal entities, including authorized users representing the employer, its employees, or other persons using or accessing the Software on behalf of the business.
If you are a resident of a jurisdiction where the download or use of the Software is prohibited by law due to different requirements or a complete ban on the use of the Software in such jurisdiction, do not install or use it.
Furthermore, you hereby waive any rights or requirements under the laws or regulations of the jurisdictions which require an original non-electronic signature or delivery or retention of non-electronic records, to the extent permitted by applicable mandatory law.
Risk Warning
Trading with real money involves a high risk of losing money rapidly. Most investor accounts lose money when trading financial products. You should consider whether you understand how various financial products work and whether you can afford to risk losing money.
Summary
You must agree to all of the terms of this EULA to use this Software. The Software is licensed on a subscription basis and may be used for any lawful purpose. You may install it on as many computers as you like, but the number of copies that may run at the same time is part of your subscription tier; if you exceed it, the Software shows you your active sessions and lets you end one to free a slot (see 'The License'). We may offer a free, time-limited evaluation; an evaluation never becomes a paid subscription and we never charge you automatically — you pay only if you choose to subscribe (see 'Licence Term; Evaluation and Subscription'). The Software is a tool that you run on your own account: all trading decisions are computed locally on your own device, FEATrading OÜ does not provide investment advice or manage your account, and our servers never send the Software trade signals. The Software automatically communicates with our servers to receive updates, validate your licence and subscription entitlement, receive our news feed, check once a day whether we have suspended new trading because of a critical defect (see 'Operational Safety Control' — it can only stop new positions being opened; it never closes your open trades and never opens or directs one), and enforce our licence terms — which, to prevent trial abuse, involves sending your trading account number, broker server, account type and a device identifier (see 'Privacy Notices'). Your trading strategy runs locally and is not transmitted, and the Software does not send your account balances, trading results, or account holder name to us. This Software is provided 'as-is' with no warranties, and you agree that FEATrading OÜ is not liable for anything you do with it. You should go ahead and read the whole EULA. It's not all that long. You should rely on more than this summary.
Nature of the Software; No Investment Advice; No Account Management
The Software is a technical tool that you install and operate on your own trading terminal and account. All trading decisions are computed locally by the Software on your own device, using the market data available on your terminal, and any resulting orders are placed through your own broker connection. FEATrading OÜ does not place trades on your behalf, does not access or control your trading account, and exercises no discretion over your trading. The only control we retain over the running Software is the safety suspension described under 'Operational Safety Control' below, which lets us stop the Software opening new positions if we discover a critical defect; it can never open, close, direct, or size a trade. You alone decide whether to install, configure, enable, run, disable, or remove the Software and any of its trading strategies ('modules'), and you may do so at any time.
FEATrading OÜ does not provide investment advice, personal recommendations, portfolio management, or any other regulated investment service. The Software, its strategies, and any related materials are general in nature, are identical for all users of a given product or subscription tier, and are not tailored to your individual circumstances, financial situation, or objectives. Nothing made available by FEATrading OÜ constitutes a personal recommendation to buy, sell, or hold any financial instrument. You are solely responsible for your trading decisions and their outcomes.
What the Software does by default. Where a choice is yours to make, we leave it to you: automatic updates are off until you switch them on, no safety suspension is in effect, and the daily-loss limit — the only feature that can close positions on your behalf — does nothing until you set it. One default runs the other way, and you should know it plainly: the Software is a trading tool, so once you attach it to a chart and allow automated trading in your terminal, it will begin trading the strategy modules your subscription covers. That is what it is for. You can switch its trading off at any time in the Software's own controls, you can remove it from the chart, and your terminal's own automated-trading switch overrides it in every case.
Where the Software communicates with FEATrading OÜ servers, it does so only for the limited purposes set out under 'Privacy Notices' below, which also states exactly what is sent and what is not. What matters here is that none of that communication carries a trading instruction in either direction: your trading strategy is contained within the Software and is never transmitted to or from our servers, and our servers never send the Software a buy, sell, or close instruction.
Why this is software, and not advice. We sell you a licence to a program. The program runs on your computer, on your terminal, on your account, and reaches its conclusions there — from the market data your own terminal already has. Every user of a tier receives byte-identical logic: nothing is calculated for you personally, nothing is tailored to your circumstances, and nothing we provide is a recommendation that a particular instrument is suitable for you. Our servers never send the Software a buy, sell, or close instruction — no such message exists in the Software at all. We cannot see your balance, your positions, or your results; we cannot place, change, or close a trade; and we hold none of your money. You decide whether to run it, how to configure it, and when to stop it. That is why we are a vendor of financial software, and not a provider of financial advice.
The Agreement
By downloading, installing, using, or copying the Software, you accept and agree to be bound by the terms of this EULA. If you do not agree to all of the terms of this EULA, you may not download, install, use, or copy the Software.
The License
This EULA entitles you to install as many copies of the Software as you want and use the Software for any lawful purpose consistent with this EULA, subject to the evaluation and subscription terms set out under 'Licence Term; Evaluation and Subscription' below and to the limit on simultaneous sessions described immediately below.
Installing is unlimited; running at the same time is not. You may install the Software on as many computers as you like. What your subscription limits is how many copies may run at the same time: each running copy occupies one 'session', and the number of sessions included is part of the tier you subscribe to. The Software tells you how many you have.
If you start a copy that would exceed that number, that copy simply does not start trading. Instead it shows you your own currently active sessions — including where each one is running and when it was last seen — and lets you end one of them to free a slot. You choose which one to end. We do not make that choice for you and we do not end your sessions on your behalf. As soon as a slot is free, the new copy registers and runs normally.
A copy that is waiting for a slot, and a copy whose session you have ended from elsewhere, both behave the same way: they stop opening new positions and their settings are locked. Consistent with the rest of this EULA, neither closes, modifies, or reverses any position. If you end a session on a computer that is holding open trades, those trades are not closed — the copy simply stops opening new ones, and you keep full manual control of that account in your own terminal.
Using the Software across your own accounts. Running a strategy on one account and mirroring its trades onto another account of your own is a normal part of algorithmic trading, and it is a use we accept. You may do it. To be clear about what that is and is not: the Software itself has no copy-trading, mirroring, or signal-distribution feature. We do not provide one, we do not operate one, and we never transmit trades or decisions between accounts or between users. Any such arrangement is one that you build and run yourself, with your own tools, on your own accounts, at your own risk and on your own responsibility.
The session limit still applies to those setups. Mirroring does not create an exemption from it. If what you want to run needs more simultaneous sessions than your tier includes, please just ask us — write to support@fea-trading.com and we will look at it — or take out a second subscription. We would far rather you asked than worked around the limit.
Copying to accounts that are not yours is prohibited. You may use the Software, and the trading decisions it produces, only for trading accounts that belong to you. You may not use the Software — or its trades, signals, or decisions, in any form — to trade, mirror, copy, replicate, publish, sell, or otherwise act on or distribute to any account that does not belong to you, or to any other person, whether or not you are paid for it, and whether you do so manually, automatically, or through any third-party service. If we discover that you have, we may cancel your subscription and terminate this EULA immediately and without notice, and without refund; this is the kind of licence circumvention contemplated by 'Subscription Cancellation' in our Terms and Conditions.
That prohibition also protects you. Passing trading decisions to other people, or trading other people's accounts, may itself be a regulated activity in your country and may require authorisation that you do not have. That is your responsibility and not ours, and nothing in this EULA authorises you to do it.
Your license to use the Software is expressly conditioned upon your agreement to all of the terms of this EULA. This software is licensed, not sold. FEATrading OÜ reserves all other rights not granted by this EULA. Your license to use the Software terminates if you materially breach this EULA. If a material breach of this license occurs, then FEATrading OÜ shall reserve the right to immediately reject further server communication and, thus, the proper execution of the software. Failure to cure such material breach shall result in termination of the license. This EULA will commence upon your installation of the Software and continue in perpetuity unless terminated earlier as provided herein. This EULA will immediately terminate upon your uncured material breach of any of the terms or conditions set forth herein. Upon the termination of the EULA, you will discontinue all future use of the Software and promptly destroy the Software and any copies thereof.
FEATrading OÜ may revise or modify the Software and its functionality, and may cease to provide a product or any part of it. Where you hold a subscription, we do this in accordance with 'Changes to the Service' in our Terms and Conditions: changes needed to keep the Software working as we have described it are made at no additional cost to you, and where a change would negatively affect your access to or use of the Software in more than a minor way, we will give you reasonable advance notice and you may terminate your subscription free of charge and be refunded for the period after termination. Some changes may result in a loss of compatibility with third-party software, systems, or services that we do not control.
Licence Term; Evaluation and Subscription
The Software is licensed on a subscription basis. Which products — and, for products offered in tiers, which tier — you are entitled to run is determined by the subscription held by your account.
We may offer a free evaluation period. An evaluation is free of charge and time-limited, and the Software shows you how much of it remains.
An evaluation never turns into a paid subscription, and we never take a payment from you automatically. You are charged only if you decide to subscribe, and you do that separately through our checkout, where the price and the obligation to pay are shown to you before you commit. Letting an evaluation simply run out costs you nothing and puts you under no obligation to pay us anything.
When an evaluation ends, or when no subscription is held, we may — at our sole discretion — allow the Software to keep running while it displays a notice that it is unlicensed. Where we do this, it is a concession and not an entitlement: we may withdraw it at any time, for any product, and without notice, in which case the Software will stop opening new positions and its settings will be locked until a subscription is taken out. You may uninstall the Software at any time.
If your subscription changes while the Software is running, it picks the change up at its next licence check. On an upgrade, the additional strategy modules covered by your new tier become available. On a downgrade, or when a subscription ends, the modules that are no longer covered simply stop opening new positions.
Nothing in our licensing ever closes a trade. Not a downgrade, not the end of an evaluation, not an unlicensed notice, and not a locked account. A module that is no longer covered keeps managing any position it already holds until that position closes in the ordinary way; it is not closed early, not modified, and not reversed. If your account is locked, the Software stops opening new positions and its settings are locked, but your open positions keep running and continue to be managed exactly as before, and you keep full manual control of your account and your positions at all times. The only feature that will ever close positions on your behalf is the daily-loss limit that you set yourself in the Software's risk settings — and it does nothing unless you switch it on.

The Restrictions
When using the Software, you must use it in a manner that complies with the applicable laws in the jurisdiction(s) in which you use the Software. You may not sell, resell, rent, lease, or exchange the Software for anything of value. You may not redistribute the software, and you may not repackage or bundle the Software with any other software. You may not remove or alter proprietary notices or marks on the Software.
Privacy Notices
The Software automatically communicates only with our own servers, for the following purposes: (1) to receive software update information; (2) to validate your licence and subscription entitlement (to confirm which products and, for tiered products, which subscription tier your account is entitled to); (3) to receive our economic-events / news feed; (4) to enforce our licence terms and prevent abuse of free trial periods; and (5) to check once a day whether a safety suspension is in effect for your product (see 'Operational Safety Control'). The safety check sends no information about your account or your trading; the answer is a single yes/no that can only stop the Software opening new positions. For purposes (2) and (4), the Software transmits your MetaTrader trading account number, your broker's trading-server name, the account type (demo or live), and a device identifier derived from your computer's hardware; our servers also record the IP address from which the Software connects, and derive an approximate, city-level location from it for security and audit purposes. Apart from those identifiers, the only other things the Software ever sends us are your email address and password when you sign in, create an account, or reset your password (they are otherwise stored only on your own computer, in encrypted form); the token and session key that keep you signed in; and which of our applications, on which platform, at which version, is running. Our Privacy Policy lists this in full. These are identifiers relating to you and are processed as personal data (they are not anonymous), on the lawful bases of the performance of our licence agreement with you and our legitimate interests in enforcing the licence and preventing fraud and trial abuse.
No financial information of any kind is sent to FEATrading OÜ, and we do not record your trading behaviour. The Software does NOT transmit your account balance, equity, margin, free margin, credit, leverage, account currency, open positions, pending orders, profit or loss, or any trading result or history; it does not transmit the account holder's name; and it does not transmit which instruments you trade or any record of how you use the Software. The device identifier is a single value derived from your computer: the Software does not compile a hardware inventory of your device, and it does not transmit your MetaTrader version or build, your terminal path, or your time zone. We build no profile of you or of your trading. Everything the Software sends exists to sign you in, to confirm what your licence entitles you to, to keep your sessions in order, to deliver updates, and to stop free trials being claimed over and over — and for nothing else.
Your trading strategy is contained within the Software and runs locally, and FEATrading OÜ servers do not send the Software your strategy configuration, trade signals, or any buy, sell, or close instructions. Editions of the Software distributed through the MetaTrader Market operate entirely offline: they contain no network functionality at all and transmit nothing to us. Software Updates
The Software checks with our servers whether a newer version of the Software is available. Updates are applied manually by default: you are notified within the Software and you choose whether to install each update — nothing is installed without your click. If you prefer, you may switch automatic updates on in the Software's update settings, and you may switch them off again at any time. Automatic updates are off unless you explicitly enable them.
Every update is a generic software release, provided identically to all licensees of your product tier; it is versioned, and each download is integrity-checked before it is installed. An update may add, change, or remove functionality, including trading logic, and by installing an update — or by leaving automatic updates switched on — you consent to those changes. You remain solely responsible for all trading decisions, and you may stop using or uninstall the Software at any time.
We aim to publish a release approximately once a quarter, with a note of what changed. That is our intention rather than a promise: we may release sooner where a defect, or a change in the MetaTrader platform, makes it necessary, and a quarter may pass without a release if there is nothing worth shipping. What we do commit to is the character of the channel: every release is a whole, versioned build of the Software, the same for every licensee of your tier. We do not use it to send you anything tailored to you, and we never use it to stream trading configuration, parameters, or instructions to the Software — your strategy lives inside the build you installed.
The Software requires an internet connection for its functionality. You shall be responsible for any costs incurred by use of the internet as a result of your use of the Software.
The Economic-Events Feed
Our servers supply an economic-events calendar: the scheduled time of each announcement, the currency it relates to, and how significant it is expected to be. That is public information, it is identical for every user, and it is not our opinion about the markets or about your trading. The calendar contains no instrument, no direction, no price, and no trade size. It could not express a trade instruction, and it is not one.
How the calendar is used depends on which of our products you run, so each is described separately below.
Signova. Signova uses the calendar in one direction only: to avoid trading. Its strategy modules are written by us, and in every one of them the calendar is applied as a blackout on opening a position. Where a module would otherwise have opened a position, and a significant announcement affecting that pair's currencies falls within the module's blackout window, the module does not open it. That is the only thing the calendar can do in Signova. It cannot open a position; it cannot decide whether to buy or to sell; it cannot set your trade size, your stop-loss or your take-profit; and it cannot close, modify or reverse anything you already hold. Every decision to trade is reached on your own computer, from your own terminal's market data, before the calendar is consulted at all — in Signova the calendar can only veto a decision the Software has already made locally, never make one and never reverse one.
Expert Advisor Builder. Here you write the strategy modules yourself. You decide whether the calendar is used at all, and what it does in your module — including, if you configure it that way, using it as a condition to enter the market rather than to stay out of it. That is your configuration and your decision. What is said above about Signova describes modules that we author; it does not describe modules that you author, and you are responsible for how your own modules use the calendar.
Meta Extender. The calendar is used to display upcoming announcements on your chart. It does not gate trading.
Stop Loss Manager and MT5 Tick Data do not use the calendar at all.
If the calendar is unavailable, no filtering is applied and the Software behaves as it otherwise would. An outage or a failure on our side cannot cause you to trade and cannot stop you trading. Editions of the Software distributed through the MetaTrader Market contain no calendar and no filter at all.
Operational Safety Control
At a fixed time once a day, the Software asks our servers whether a temporary safety suspension is in effect for your product. This exists for one purpose only: if we discover a critical defect in the Software, or a critical problem in the way it interacts with the platform it runs on, we can stop it opening further positions while we investigate and publish a fix. It is not a trading decision and we never use it as one. It is never based on your account, your positions, your results, or on market conditions — we cannot see any of those.
The clearest reason we need this option is a dependency outside our control. The Software runs inside the MetaTrader terminal, which is maintained and updated by its own vendor, on its own schedule, entirely independently of our release cycle. A new terminal build can arrive on your computer at any time and change the behaviour of software running inside it — without notice to us, and without anything having changed in our product. We cannot test against a terminal build that does not exist yet. If such a change were to affect the Software, being able to stop it opening new positions for a short time, while we investigate the circumstances and publish a fix, is the responsible engineering answer — and it is why we keep this option open.
This check is technical maintenance, and nothing more. The Software asks the question at a fixed time once a day — shortly before midnight, server time — and once when it starts. It never asks in response to a price, never at the moment a trade is being considered, and on no schedule connected to market activity. The answer is a single yes or no that applies to the product as a whole: it is the same answer for every user of that product, it is not calculated for you or from anything about you, and it contains no instrument, no direction, no price, and no timing. Because each installation only learns of a change at its next daily check, a suspension can take up to about twenty-four hours to reach every installation. A once-a-day, fixed-time, product-wide yes/no that may arrive a day late cannot function as a trading signal, and is not one. It has the same character as the Software's update check — a maintenance flag about the Software itself, and technical in nature.
A safety suspension is deliberately blunt and carries no directional bias. While it is in effect, the Software stops opening new positions — all of them, across every strategy module, buy and sell alike, market and pending orders alike. It can do nothing else.
No open position is ever closed by a safety suspension. Your open trades are not closed, not modified, and not reversed; your stop-loss, take-profit, direction, and trade size are not changed; your strategies are not disabled or altered; and a suspension gives us no access to your account. Your existing trades continue to be managed by the Software exactly as before — they run on, and close, exactly as they would have if no suspension were in effect — and you keep full manual control of your account and your positions at all times. A safety suspension can only ever reduce what the Software does — it can never cause the Software to trade, it can never close a trade, and it can never favour one direction over another.
A safety suspension is off by default, is not in effect after a restart until it has been reconfirmed, and lapses automatically if the Software cannot reconfirm it for several days — so a fault or an outage on our side always resolves in favour of normal operation. Editions of the Software distributed through the MetaTrader Market do not contain this feature at all.
Software Modifications or Decompilation
You undertake not to knowingly or unknowingly cause, permit, or authorize the modification, translation into other languages, creation of derivative products or services, reverse engineering, decryption, decompiling, and/or disassembling of the Software and any components and parts thereof, gaining unauthorized access to databases and network protocols and compromising the integrity of the Software's security system. You will not modify the Software's program interface in any way. At all times, You will comply with the requirements and specifications relating to the Software's design, use, and presentation. This clause survives the termination of this EULA.
Open-Source Notices
Specific components of the Software may be subject to open-source software licenses ('Open-Source Components'), which means any software license approved as open-source licenses by the open source initiative or any substantially similar licenses, including without limitation, any license that, as a condition of distribution of the software licensed under such license, requires that the distributor make the software available in source code format. The Software documentation includes copies of the licenses applicable to the open-source components. To the extent there is a conflict between the license terms covering the open-source components and this EULA, the terms of such licenses will apply in lieu of the terms of this EULA. To the extent the terms of the licenses applicable to open-source components prohibit any of the restrictions in this EULA with respect to such open-source components, such restrictions will not apply to such open-source components. To the extent the terms of the licenses applicable to open-source components require the Licensor to make an offer to provide source code in connection with the Software, such offer is hereby made, and you may exercise it by contacting support@fea-trading.com.
Intellectual Property Notices
You acknowledge and agree that any and all IP rights in the Software, any FEATrading OÜ' website, and online materials are and shall remain the exclusive property of FEATrading OÜ. Nothing in this EULA intends to transfer to/or vest in you any such IP rights. You are only entitled to the limited use of the licensed Software granted to you under this EULA. You will not take any action to jeopardize, limit, or interfere with the IP rights. You acknowledge and agree that any unauthorized use of the IP rights is in violation of this EULA, as well as a violation of the international intellectual property laws and treaties, including, without limitation, copyright laws and trademark laws. All title and IP rights in and to any third-party content that is not contained in the Software but may be accessed through the use of the Software is the property of the respective content owners and may be protected by applicable copyright or other intellectual property laws and treaties. This clause shall survive the termination of this EULA.
Applicable Law and Competent Court
This EULA shall be governed by, and construed in accordance with the law of the Republic of Estonia. Any legal action or proceeding arising under this EULA shall be subject to the exclusive jurisdiction of the courts of the Republic of Estonia and, specifically, to the extent permitted by law, the Tallinn District Court.
Disclaimers and Limitations on Liability
Your rights as a consumer come first. Nothing in this section, or anywhere else in this EULA, excludes or limits our liability where it would be unlawful for us to do so. In particular, we do not exclude our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. If you are a consumer, you have legal rights in respect of Software that is faulty, is not as described, or is not fit for a purpose we told you it was fit for — including, in the United Kingdom, your rights under the Consumer Rights Act 2015, and in the European Union and European Economic Area your equivalent rights in respect of digital content. Those rights are not affected by anything in this EULA, and the disclaimers and limitations set out below apply to you only so far as the law that protects you allows. If you are a consumer and any part of this section conflicts with those rights, your rights prevail and that part does not apply to you.
THE SOFTWARE IS PROVIDED ON AN 'AS IS' BASIS, AND NO WARRANTY, EITHER EXPRESS OR IMPLIED, IS GIVEN. YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK. FEATrading OÜ does not warrant that (i) the Software will meet your specific requirements; (ii) the Software is fully compatible with any particular platform; (iii) your use of the Software will be uninterrupted, timely, secure, or error-free; (iv) the results that may be obtained from the use of the Software will be accurate or reliable; (v) the quality of any products, services, information, or other material purchased or obtained by you through the Software will meet your expectations; or (vi) any errors in the Software will be corrected.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT FEATrading OÜ SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF FEATrading OÜ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RELATED TO THE SOFTWARE, including, for example: (i) the use or the inability to use the Software; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Software; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third-party on the Software; (v) or any other matter relating to the Software.
FEATrading OÜ may modify or discontinue the Software, or any part of it, temporarily or permanently. Where you hold a subscription, we will do so in accordance with 'The License' above and 'Changes to the Service' in our Terms and Conditions — which give you advance notice of a change that would adversely affect your use in more than a minor way, the right to terminate free of charge, and a refund for the period after termination. Subject to those rights, and to your statutory rights as a consumer, FEATrading OÜ shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Software.
